PURPOSE: The purpose of this ECAF is to approve and execute the Amended and Restated Master Services Agreement between Snohomish County and OpenGov, Inc.to replace the full previous Software License and Services Agreement and extend the Agreement for 4 years.
BACKGROUND: On September 25, 2015, Snohomish County executed a Software License and Services Agreement between Snohomish County and Cartegraph Systems, Inc. (the “Agreement”) for an automated asset maintenance management system which was initially released to the Road Maintenance and Solid Waste divisions of Public Works but has now been expanded in use across Public Works and several other departments in the County. The original Agreement has been amended six times: Amendment 1 extended the initial term by six months through August 31, 2021, Amendment 2 added additional but related scope and budget, Amendment 3 renewed all five additional one-year terms for the Agreement through August 31, 2026, Amendment 4 added DCNR to the Agreement, Amendment 5 added the Airport to the Agreement, and Amendment 6 added an Orange Advantage Support subscription. The Agreement with Cartegraph Systems, Inc. was assumed by OpenGov, Inc. on July 27, 2022. Snohomish County and OpenGov, Inc. desire to amend and restate the Agreement as set forth in the Amended and Restated Master Services Agreement (the “Master Agreement”) to reflect the software upgrade from on-premise Cartegraph Operations Management System licensing and services to Cartegraph Asset Management cloud software as a service. The upgrade will not increase the amount of the Agreement. Additionally, OpenGov has offered to fix annual renewal pricing through August 31, 2030. Approval of this Amended and Restated Master Services Agreement will allow the County to continue use of the Cartegraph platform into the future, implement, upgrade and migrate from the on-premise Operations Management System platform to Cartegraph Asset Management cloud software as a service, and extend the Agreement through August 31, 2030 with fixed annual renewal pricing. Expedited handling is requested to ensure the agreement is executed by mid-October so migration can begin on November 1.

DEPARTMENT FISCAL IMPACT NOTES: Funding for the 2025 renewal has already been encumbered. Funding for the 2026 annual renewal is included in the IT Department’s rates and approved 2025-2026 biennial budget, and will be included in the 2027-2028 IT Rate Model.
