PURPOSE: The purpose of this ECAF is to approve and execute the Restated Amendment 2 to the Agreement for Professional Services to provide consulting services, project support, and advisory services in relation to the County's financial enterprise resource planning (ERP) system implementation initiative. This Restated Amendment 2 will correct the contract maximum stated in the original Amendment 2.
BACKGROUND: The County ERP system implementation requires professional business consulting services, project support, and advisory services. An Agreement was executed with RedCloud Consulting on December 12, 2023 to provide initial professional services over an 18-month contract, and amended on August 6, 2024 to add additional services. Service competition was waived in accordance with SCC 3.04.203. The ERP software has been acquired and IT is in the process of acquiring a Software Implementation partner. Additional consulting services from RedCloud are necessary due to the complex nature of the project. Amendment 2 to the Agreement to extend the Agreement and associated Statements of Work for three (3) additional years through May 31, 2028 was executed June 26, 2025. The increased cost to the Agreement for the work described in Amendment 2 shall not exceed One Million Forty-Six Thousand Two Hundred Fifty Dollars ($1,046,250.00). Amendment 2 correctly stated the increase ($1,046,250.00) to the total compensation in the Recitals and in Schedule A-3. However, section 6 of Amendment 2 incorrectly stated the new Contract Maximum. This Restated Amendment 2 corrects the Contract Maximum to $2,297,250.00.
